The successful candidate will ensure that the Group operates in compliance with relevant laws, regulations, corporate governance standards, and statutory requirements. A reputable and diversified Group of Companies based in Abuja is seeking to appoint an experienced and highly organised Company Secretary to provide effective corporate governance, legal, regulatory, and administrative support to the Group. Key Responsibilities: Support corporate restructuring, mergers, acquisitions, registrations, and other corporate transactions. Prepare and review corporate documents, resolutions, agreements, and other official correspondence. Provide company secretarial and corporate governance support to the Group and its subsidiaries. Maintain proper records of Board decisions, shareholder resolutions, and other corporate actions. Organise and coordinate Board, Board Committee, and General Meetings, including preparation of agendas, notices, minutes, and resolutions. Provide general administrative and governance support to the Board and Executive Management. Ensure compliance with the Companies and Allied Matters Act (CAMA) and other applicable Nigerian laws and regulations. Monitor changes in relevant laws and regulations and advise Management on their implications.Liaise with regulatory bodies, external solicitors, auditors, and other professional advisers when required. Maintain accurate statutory and corporate records of the Group and its subsidiaries. Advise the Board and Management on corporate governance, statutory, and regulatory matters. Ensure timely filing of statutory returns and other regulatory documentation with relevant authorities. Requirements: Excellent communication, report-writing, organisational, and interpersonal skills. Strong knowledge of CAMA, corporate governance principles, and regulatory compliance in Nigeria. Experience: working with Boards, Directors, shareholders, and senior executives. Minimum of 10 years’ relevant experience: in company secretarial, corporate governance, legal, or compliance roles. Professional qualification as a Chartered Secretary/Administrator, Lawyer, or equivalent is highly desirable. Bachelor’s Degree in Law, Business Administration, Accounting, Finance, or a related discipline. Strong attention to detail, discretion, integrity, and confidentiality. Ability to manage multiple corporate and statutory responsibilities: effectively.
