The Head, Compliance & Risk is responsible for safeguarding the organization against regulatory, operational, financial, and reputational risks while ensuring strict compliance with Nigerian and international standards. Key Responsibilities: Regulatory Compliance: Ensure adherence to Nigerian petroleum regulations, NUPRC, NCDMB, DPR, environmental laws, and waste management standards. Oversee compliance with ISO standards (ISO 9001, ISO 14001, ISO 45001) and NDPR data protection requirements. Maintain strong relationships with regulators (CAC, FIRS, PENCOM, NSITF, EFCC-SCUML). Risk Management: Lead crisis management, disaster recovery, and business continuity planning. Identify, assess, and mitigate operational, financial, environmental, and compliance risks. Develop and implement enterprise-wide risk management frameworks. Internal Audit: Provide independent assurance to the Board Audit Committee and senior management. Conduct audits across financial, operational, IT, and compliance areas. Recommend improvements to governance and internal controls. Corporate Governance: Serve as Company Secretary where required, preparing board packs, resolutions, and statutory filings. Advise the Board and executive leadership on compliance and governance matters. Ensure transparent reporting, ethical practices, and accountability. Contract & Legal Oversight: Review, negotiate, and approve contracts (EPCIC, JV agreements, procurement, haulage, marine services). Manage litigation, arbitration, and external counsel engagements. Mitigate legal risks in high-value transactions and partnerships. Key Requirements: 10 - 15 years' experience: in compliance, risk, or legal roles, with at least 3 - 5 years in leadership in the Oil & Gas space. ICSAN (Chartered Secretary), CIArb (Arbitration), Risk Management certifications. Strong skills in corporate law, environmental compliance, contract risk, governance, leadership, and audit frameworks. Degree in LL. B / B. L (Nigerian Bar), MBA/LL.M preferred.
