We are recruiting to fill the position below: Job Title: Legal Counsel – Commercial, Energy & Digital Advisory Location: Abuja (FCT) Employment Type: Full-time Unit / Division: Legal Reports To: Senior Vice President, Legal & Compliance Direct Reports: None Job Summary Provide strategic legal and compliance support across the Group, with a focus on digital technology, software, artificial intelligence, data protection and intellectual property, while also supporting commercial transactions, regulatory compliance, corporate governance and energy-sector activities. Key Objectives: Achieve 100% compliance with applicable legal and regulatory obligations across AKD Consulting businesses and assigned Group business units, with zero material regulatory penalties attributable to legal oversight. Achieve ≥85% on-time delivery of legal support, including contracts, advisory and transactions, within agreed timelines. Key Responsibilities: Intellectual Property & Digital Technology: Support the protection, registration, commercialisation and enforcement of intellectual property rights, including trademarks, copyrights, patents, trade secrets and proprietary know-how. Develop and maintain legal frameworks, policies, standards and technology-related agreements supporting innovation, digital transformation and IP management. Advise on technology transactions, including software licensing, SaaS, digital platforms, technology procurement, IT outsourcing and systems implementation. Provide legal support for digital technology, software, artificial intelligence, cloud, cybersecurity and digital transformation initiatives. Advise on data protection, privacy, cybersecurity, artificial intelligence governance and emerging technology regulations. Commercial Transactions, Corporate Development & Due Diligence: Support strategic corporate transactions, including M&A, joint ventures, investments, project finance, corporate restructurings and shareholder matters. Conduct legal due diligence and support transaction execution, post-completion implementation and legal risk assessments for acquisitions, investments, strategic partnerships and expansion initiatives. Prepare, review and negotiate commercial agreements and provide legal support for execution across the Group. Energy, Infrastructure & Project Advisory: Draft, review and negotiate sector-specific agreements, including Hydrocarbon Sale, Transportation and Processing Agreements, Technical Service Agreements, Project Development Agreements, EPC, consultancy, contractor, procurement, supply and distribution agreements. Provide legal support and advisory services on energy, natural resources, infrastructure and project execution. Regulatory Compliance & Governance: Monitor and interpret applicable legislation, regulations, industry policies and emerging legal developments affecting the Group. Provide timely regulatory advice and practical recommendations to support compliance. Identify legal and regulatory risks and recommend appropriate mitigation measures. Assist in implementing and continuously improving governance frameworks, compliance programmes, policies and internal controls. Strategic Legal Advisory: Provide internal stakeholders with practical, risk-based legal solutions aligned with the Group's commercial objectives. Requirements: Academic / Professional Qualifications: Bachelor of Laws (LL.B) Degree. Master's degree or PGD is an advantage. Required Skills: Highly organized with the ability to work independently and prioritize effectively. Strong analytical and data interpretation skills.
