Company Secretary, Legal & Compliance Job Type Full Time , Onsite Qualification Professional Certificate Experience: 5 - 12 years Location Akwa Ibom Job Field Legal and Regulatory Key Responsibilities: The successful candidate will be responsible for providing strategic legal, corporate governance and compliance support to the Company, including: Provide legal advisory services on corporate and commercial law matters. Serve as Company Secretary and ensure effective corporate governance and statutory compliance. Draft, review and negotiate commercial contracts, agreements and legal instruments. Develop, review and manage Shareholders’ Agreements , investment agreements and related corporate documents. Advise Management and the Board on corporate legal matters, resolutions and governance requirements. Maintain statutory corporate records and ensure timely regulatory filings. Support the Company's project development, financing, investment and commercial transactions from a legal perspective. Identify and mitigate legal, contractual and regulatory risks. Liaise with external solicitors, regulators, investors, shareholders and other relevant stakeholders. Ensure the Company's operations and transactions comply with applicable laws, regulations and industry requirements. Support the development and implementation of legal and compliance policies. Requirements: Bachelor's Degree in Law (LL.B) from a recognised institution. Must be a qualified Nigerian Legal Practitioner (BL) and duly called to the Nigerian Bar. Minimum of 5 years relevant post-qualification experience: , preferably in corporate/commercial law, energy, infrastructure, investment or project development. Strong knowledge of corporate law, commercial transactions and corporate governance . Demonstrable experience: in drafting/reviewing Shareholders’ Agreements, commercial contracts and corporate documentation . Good understanding of regulatory and compliance requirements: within the Nigerian business environment. Strong negotiation, analytical, drafting and communication skills. Ability to work independently and provide commercially sound legal advice. AI proficiency and strong digital literacy will be an advantage.
