Officially launched in December 2025 at the Ikoyi Golf Club, Lagos, the platform was established by Nigerian entrepreneur Mrs. Funke Otti alongside Vice Chairman Dr. Mohammed K. Santuraki to deepen financial inclusion for individuals and micro, small, and medium enterprises (MSMEs).
We are recruiting to fill the position below:
Job Title: Legal Officer
Location: Ikoyi, Lagos
Employment Type: Full-time
Job Purpose
The Legal Officer is responsible for executing day-to-day internal legal operations, commercial contract drafting and review, credit legal documentation, collateral perfection, regulatory compliance tracking, labor law advisory, and pre-litigation dispute management.
The job holder acts as an operational legal safeguard to protect the company's legal interests, minimize risk, and ensure regulatory compliance.
Duties and Responsibilities
Commercial Contracts & Operational Agreements:
Draft, review, negotiate, and vetting all commercial contracts, service level agreements (SLAs), vendor management contracts, non-disclosure agreements (NDAs), and strategic partnership MOUs.
Ensure commercial agreements strictly comply with internal risk guidelines and statutory provisions.
Maintain and regularly update the company's repository of standard contract templates, legal disclaimers, and terms of service to minimize business exposure.
Credit Legal Execution, Due Diligence & Collateral Perfection:
Draft and review credit documentation including offer letters, loan agreements, deeds of legal mortgage, debentures, personal/corporate guarantees, and pledge agreements.
Conduct thorough legal due diligence on corporate borrowers, verifying registration status, board resolutions, corporate capacity, and existing encumbrances prior to credit disbursement.
Execute title searches at Land Registries, corporate searches at the Corporate Affairs Commission (CAC), and register security interests with the National Collateral Registry (NCR) to ensure proper perfection of collateral.
Regulatory Compliance Tracking, Statutory Filings & Corporate Secretariat:
Assist in operationalizing Anti-Money Laundering (AML/CFT) and Know Your Customer (KYC) regulatory compliance standards across departments.
Prepare, execute, and track statutory filings with the Corporate Affairs Commission (CAC), including annual returns, changes in directorship, and share allotments.
Monitor circulars, guidelines, and statutory updates from key financial and regulatory authorities (e.g., CBN, SEC, FCCPC, NITDA, NDPR/NDPA) and advise management on operational compliance.
Provide secretarial support for Board and Committee meetings, including assisting in board pack collation, meeting logistics, drafting meeting minutes, and tracking action items.
HR Legal Support, Labor Law & Intellectual Property (IP):
Advise Human Resources on employment contracts, non-compete clauses, staff handbooks, employee exit procedures, and disciplinary matters to ensure full alignment with local labor laws.
Assist in registering, tracking, and protecting company trademarks, domain names, proprietary software licenses, and brand assets.
5. Pre-Litigation Recovery, Default Handling & External Counsel Liaison:
Draft and issue formal legal demand letters, notices of default, and cure warnings to non-performing loan defaultors and defaulting contractual partners.
Participate in pre-litigation negotiations and out-of-court dispute resolution to recover outstanding receivables.
Liaise with external retainer law firms and litigators; collate case files, prepare litigation briefs, track court schedules, and maintain litigation logs (without appearing directly in court).
Person Specification
General Education:
Minimum of Bachelor of Laws (LL.B) from a recognized university.
Professional Qualification:
Relevant certifications (e.g., ICSAN, Compliance Institute, or CAMS) would be an added advantage.
Call to the Nigerian Bar (B.L) is mandatory.
Experience;
Minimum 3–5 years post-call experience in commercial law, credit documentation, collateral perfection, regulatory compliance, or in-house legal counsel role within financial services, banking, or top-tier corporate legal practice.
